By accessing or using the website or platform, you confirm that you have read, understood, and agreed to comply with these Terms. If you do not agree with these Terms, you must not access or use the website or platform.

Certain parts of the website may be publicly accessible, while access to the private sales platform, residence information, availability, pricing, reservation tools, and transaction materials may be limited to invited, verified, or approved users.

2. About Keanu Residences

Keanu Residences is a private beachfront residential estate in Keramas, Bali. The website and platform are operated by or on behalf of PT Surya Loka Real Estate, the developer of Keanu Residences, together with its appointed representatives, advisers, consultants, service providers, and platform operators.

References to "Keanu," "Keanu Residences," "we," "us," or "our" refer to the relevant project owner, developer, platform operator, or authorised representative, as applicable.

3. Website and Platform Purpose

The website and platform are provided for general information, private introduction, residence review, platform access, shortlist, reservation, and buyer-advisory purposes only.

The website and platform are not public property listing portals, investment platforms, legal advisory platforms, or financial advisory platforms. Information made available through the website or platform does not constitute a binding offer, contract, guarantee, reservation, allocation, sale, investment recommendation, legal advice, tax advice, valuation advice, financial advice, architectural advice, construction advice, or professional advice.

Detailed residence information, availability, pricing, ownership documentation, payment terms, reservation terms, and transaction documentation are shared privately and confirmed only through the applicable formal documentation.

5. Account Registration and Security

Some parts of the platform may require users to register, verify their email address, and complete OTP or other verification before access is granted.

You are responsible for keeping your login details, password, OTP, and account access confidential. You must not share your account with any other person or allow another person to access the platform using your credentials.

You are responsible for all activity carried out under your account.

We may suspend, restrict, or disable your account if we reasonably believe that your account has been misused, your credentials have been compromised, you have breached these Terms, your access is no longer authorised, or your activity creates operational, legal, compliance, or security risks.

6. Platform Access and Availability

We aim to provide a stable and reliable platform experience, especially during launch periods. However, we do not guarantee that the platform will always be available, uninterrupted, error-free, secure, or free from technical issues.

We may suspend, withdraw, restrict, or modify access to all or part of the website or platform for maintenance, operational, security, legal, compliance, or business reasons.

During high-traffic launch events, platform performance may be affected by user volume, network conditions, third-party services, payment gateway availability, or other factors outside Keanu's control.

7. Residence Information and Availability

Residence information displayed on the website or platform may include images, renderings, floor plans, masterplans, pricing, land area, interior area, terrace area, pool area, bedrooms, bathrooms, specifications, inclusions, residence status, availability, launch price, completion timing, handover timing, and other project information.

While reasonable efforts are made to keep information accurate and up to date, all website and platform information is provided for general information and private review purposes only. Information may be indicative, illustrative, incomplete, or subject to refinement.

Residence availability may change in real time due to reservations, temporary holds, successful payments, failed payments, expired payment windows, administrative updates, system synchronisation, buyer eligibility review, or project decisions.

No residence is reserved, held, allocated, or sold unless confirmed through the applicable reservation process and formal documentation.

You should not rely solely on website or platform content as legal, financial, investment, architectural, tax, valuation, construction, or property advice. You should obtain independent professional advice before making any reservation, payment, or purchase decision.

8. Private Platform Materials

Materials shared through the private sales platform, including pricing, availability, residence details, floor plans, area schedules, legal summaries, ownership documents, payment schedules, reservation information, and project-specific materials, are provided for your personal review only.

You must not copy, distribute, publish, forward, reproduce, commercially exploit, or share private platform materials with third parties without Keanu's prior written consent, except that you may share them with your legal, tax, financial, technical, or professional advisers solely for the purpose of evaluating a potential transaction.

9. No Offer, No Advice, No Guarantee

Information on the website or platform is provided for general information and private introduction purposes only.

It does not constitute an offer, contract, reservation, allocation, guarantee, investment recommendation, legal advice, tax advice, valuation advice, financial advice, architectural advice, construction advice, or professional advice.

Final residence details, pricing, availability, ownership terms, payment obligations, specifications, handover scope, taxes, fees, and contractual obligations are confirmed only in the formal sale documentation.

10. No Investment Return or Value Guarantee

Any information relating to value, rental potential, resale, market positioning, capital appreciation, yield, ownership outcomes, or illustrative owner returns is provided for general discussion purposes only.

Such information is not a valuation, forecast, investment recommendation, financial advice, or guarantee of return. Actual outcomes may vary depending on market conditions, owner usage, rental management, operating costs, taxes, fees, lease terms, currency movements, residence selection, estate management, and timing of sale.

You should obtain independent valuation, tax, financial, and professional advice before relying on any value, rental, resale, or ownership scenario.

11. Reservation and Temporary Hold

When reservation is enabled, users may be able to place a temporary hold on a selected residence.

A temporary hold does not guarantee ownership or final purchase rights. A residence is only treated as reserved when the required deposit payment has been successfully completed, confirmed by the payment provider, recorded by the platform, and accepted in accordance with the applicable Reservation Terms.

The platform may automatically release a residence if payment is not completed within the reservation window, payment fails, the session expires, the reservation is cancelled, or the system identifies an error, conflict, duplicate reservation attempt, or eligibility issue.

Keanu may use locking logic to reduce the risk of duplicate reservations, but users acknowledge that reservation status is subject to final system and administrative confirmation.

Reservation status shown on the platform is subject to final verification by Keanu. If there is any discrepancy between platform display, payment gateway status, administrative records, and formal reservation documentation, Keanu's verified records and the applicable reservation documentation shall prevail.

12. Deposit Payment

Deposit payments may be processed through a secure third-party payment provider, such as Stripe.

Keanu does not store full card details. Payment processing, authentication, 3D Secure checks, authorisation, refunds, chargebacks, and payment failures may be subject to the payment provider's own terms, privacy policy, and security procedures.

A reservation is not confirmed until payment success is confirmed by the payment provider and recorded by the platform.

If payment is unsuccessful, delayed, declined, charged back, cancelled, or not completed within the required time window, the selected residence may be released back to available status.

13. Buyer Eligibility and Verification

Access to the private platform, residence information, reservation tools, or transaction processes may be subject to verification, eligibility review, identity checks, source-of-funds checks, sanctions screening, anti-money-laundering checks, or other project requirements.

Keanu may refuse, suspend, restrict, or cancel platform access, reservation access, or transaction progression where required for legal, compliance, operational, security, eligibility, or project reasons.

14. User Conduct and Acceptable Use

You must use the website and platform lawfully, responsibly, and only for their intended purpose.

You must not:

•use the website or platform for fraudulent, unlawful, or misleading purposes;

•attempt to bypass OTP, login, reservation, payment, or access controls;

•attempt to reserve residences using automated scripts, bots, or unfair methods;

•interfere with the website or platform's normal operation;

•attempt to gain unauthorised access to systems, accounts, databases, APIs, or admin tools;

•upload, transmit, or introduce malware, viruses, or harmful code;

•copy, scrape, mine, extract, or reproduce website or platform data without permission;

•misuse residence content, images, pricing, floor plans, or project data;

•impersonate another person or misrepresent your identity;

•use another person's account or credentials.

15. Intellectual Property

All website and platform content, including text, images, renderings, videos, floor plans, masterplans, graphics, logos, interface design, copy, documents, data, and project materials, is owned by or licensed to Keanu.

You may not copy, reproduce, distribute, publish, modify, commercially exploit, or create derivative works from any website or platform content without Keanu's prior written consent.

16. Third-Party Services

The website and platform may integrate with third-party services, including payment gateways, CRM systems, analytics tools, hosting providers, communication providers, email providers, OTP providers, WhatsApp or Meta services, and other operational tools.

Third-party services are subject to their own terms, policies, operating rules, and availability. Keanu is not responsible for failures, outages, errors, delays, or losses caused by third-party systems or services.

17. Privacy and Personal Data

Use of the website and platform involves the collection and processing of personal data. Personal data may be used for account creation, OTP verification, platform access, reservation processing, CRM synchronisation, communication, payment-related operations, support, analytics, security monitoring, and compliance purposes.

You must ensure that all information you provide is accurate, current, and complete.

18. Communications

When you submit an enquiry, create an account, request private access, shortlist a residence, or participate in a reservation process, Keanu may contact you using the contact details you provide, including by email, phone, or WhatsApp, in relation to your enquiry, account, platform access, residence interest, reservation, payment, or transaction process.

Marketing or promotional communications will be handled in accordance with the Privacy Policy and any communication preferences or consents collected through the website or platform.

You may opt out of marketing communications as described in the Privacy Policy. Service, security, account, reservation, payment, and transaction-related communications may still be sent where necessary.

19. Security and Monitoring

You must not misuse the website or platform by knowingly introducing malicious code, attempting unauthorised access, attacking the website or platform, disrupting service availability, or compromising security controls.

We may monitor platform activity, login events, enquiry activity, reservation activity, payment events, admin actions, and system logs for security, audit, troubleshooting, and compliance purposes.

20. Local Restrictions

The website and platform are not directed at any person in any jurisdiction where access, publication, marketing, reservation, promotion, or sale of the residences would be prohibited, restricted, or subject Keanu to registration, licensing, approval, or other regulatory requirements.

Users are responsible for complying with laws applicable in their jurisdiction. Keanu may restrict access where it considers that continued access may create legal, regulatory, operational, or compliance risk.

21. Limitation of Liability

To the fullest extent permitted by law, Keanu shall not be liable for platform downtime or interruption, failed, delayed, or unsuccessful reservation attempts, payment gateway issues, inaccurate, incomplete, or outdated information, loss of opportunity to reserve a residence, indirect, incidental, consequential, or business losses, third-party service failures, user-side device, browser, or network issues, or decisions made in reliance on website or platform content.

Nothing in these Terms limits liability where it would be unlawful to do so.

22. Changes to the Website, Platform, or Terms

We may update the website, platform, content, features, availability rules, reservation logic, launch timing, or these Terms from time to time.

Continued use of the website or platform after changes are made means you accept the updated Terms.

23. Suspension or Termination

We may suspend or terminate your access if you breach these Terms, your account is suspected of misuse, you attempt unauthorised access, you interfere with the launch or reservation process, you provide false or misleading information, or continued access creates legal, compliance, operational, or security risk.

24. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Indonesia, unless otherwise stated in applicable project-specific terms or formal transaction documentation.

Any dispute arising from or in connection with these Terms shall be handled in accordance with the dispute resolution provisions set out in the applicable project-specific terms or formal transaction documentation. Where no such provisions apply, the dispute shall be submitted to the competent courts of Indonesia, unless otherwise agreed in writing.
